Risk Management

Gaw Capital has a risk management framework that identifies, addresses and monitors risks associated with its assets under management, appropriate to the nature, scale and complexity of assets.

As part of its investment process, Gaw Capital has also established a Group Pre-Investment Committee which will review regulatory, contractual, legal, financial, AML and ESG, insurance aspects and ensures that risk management measures are implemented to address due diligence findings and other investment risks.

Group Compliance & Risk Committee
As part of the Gaw Capital’s Risk Management Framework, the Group has also established a Group Risk and Compliance Committee. The Group’s Risk and Compliance Committee have an overall responsibility for establishing a strategic approach to risk and compliance management across the Group, ensuring that the approach is proactive. It is also responsible for the overall co-ordination of risk management activity, ensuring that the necessary processes are in place to achieve compliance with statutory requirements and to protect the interest of Gaw Capital and those of its stakeholders’ interests.

The quarterly Compliance and Risk Committee meetings are chaired by the Chief Operating Officer and Managing Principals, and comprise representatives from Asset Management, Capital Markets, Compliance, Finance, Human Resources, Information Technology, Internal Audit, Investment, Legal, and Sustainability.

At Gaw Capital, all individuals who are subject to its supervision and control (collectively, Gaw Capital Associates) are required to adhere to its Code of Conduct which consists of general and specific codes.
Compliance with Applicable Laws

Gaw Capital Associates must respect and obey the Applicable Laws of all jurisdictions in which it operates and/or are applicable to Gaw Capital’s business.

Combating Financial Crime; Reporting Suspicious Transactions

Gaw Capital Associates strictly observe all applicable anti-money laundering and/or counter-terrorist financing laws and regulations, and report suspicious transactions promptly.

Conflicts of Interest

Gaw Capital Associates are required to avoid any situation that would create a conflict, or give the appearance of a conflict, between their own interests and the interests of Gaw Capital.

Confidential Information

Gaw Capital Associate shall maintain in strictest confidence and must not, disclose, or use for his own benefit, any such confidential information furnished to or received from or on behalf of any Gaw Capital client, including, without limitation, personal data of clients or information relating to the investment made by clients, unless prior written approval has been obtained.

Responsibility to Community

Gaw Capital Associates are committed to pursuing sustainability as an integral component of its business strategy, driving transactions that generate commercial, environmental and social returns.

Whistleblowing

Any Gaw Capital Associate who becomes aware or suspicious of any violation of this Code or of any Applicable Law is required to promptly report such actual or suspected violation. Reporting the activity will not subject the Gaw Capital Associate to disciplinary sanctions absent a knowingly false report.
